1. Definitions

In these Terms, the following words have the meanings below:

• "Agreement" — these Terms together with any engagement proposal accepted by both parties
• "Services" — AI advisory, workforce upskilling, and workflow integration services provided by Singa Nexus

• "You / Client" — the individual or organisation engaging our Services or accessing our Website
• "Content" — all materials, reports, programme content, and deliverables produced by us
• "Website" — the site accessible at singaneexess.pro

2. Acceptance of Terms

By accessing our Website or engaging our Services, you agree to be bound by these Terms. If acting on behalf of an organisation, you confirm you have authority to do so. These Terms apply to individuals aged 18 and above with legal capacity to enter binding agreements.

3. Service Description

Singa Nexus provides professional advisory services focused on AI integration for business organisations in Singapore. Services include: AI Readiness Assessment and Strategy Mapping; Employee Upskilling Programmes for Applied AI; and Custom AI Workflow Integration. Each service is delivered subject to scope confirmed in a written engagement proposal.

4. User Responsibilities

• Provide accurate and complete information during enquiries and onboarding
• Use our Website and Content solely for lawful purposes
• Not reproduce, distribute, or commercially exploit Content without written consent
• Not attempt unauthorised access to any part of our Website or systems
• Promptly provide cooperation reasonably required to deliver the agreed Services

5. Intellectual Property

All Content produced by Singa Nexus remains our intellectual property unless explicitly transferred in writing. Upon full payment, clients receive a limited, non-exclusive, non-transferable licence to use deliverables for internal business purposes. Clients retain ownership of their own data and proprietary materials shared with us.

6. Payment Terms

Fees are quoted in Singapore Dollars (SGD). Current pricing:

• AI Readiness Assessment & Strategy Mapping: S$380
• Employee Upskilling Programme for Applied AI: S$650
• Custom AI Workflow Integration: S$920

Invoices are issued at agreed milestones. Payment is due within 14 days of invoice date. Late payments may incur interest at 1.5% per month on outstanding amounts. We reserve the right to suspend delivery pending resolution of overdue invoices.

7. Service Delivery

Engagement timelines are indicative and depend on client stakeholder availability. Delays caused by the client's failure to provide required materials may extend timelines without penalty to Singa Nexus. Material scope changes requested after commencement will be assessed for additional fees and agreed in writing. We will perform Services with reasonable skill consistent with professional advisory standards.

8. Disclaimers

Our Website is provided on an "as is" basis. Our advisory Services represent professional opinion; they do not constitute legal, regulatory, or financial advice. Clients are responsible for independently evaluating recommendations before implementation. We do not warrant that AI tools referenced will achieve specific results, as outcomes depend on factors outside our control.

9. Limitation of Liability

To the fullest extent permitted by Singapore law, our total liability for any claim shall not exceed the total fees paid for the relevant engagement. We shall not be liable for indirect, consequential, or incidental losses including loss of profit, data loss, or business interruption. Nothing excludes liability for fraud or gross negligence.

10. Confidentiality

Both parties agree to treat as confidential all non-public information received from the other party. This obligation survives termination for three years. Disclosure is permitted only where required by law or with prior written consent.

11. Indemnification

You agree to indemnify Singa Nexus against any claims, damages, or expenses arising from your misuse of our Services, breach of these Terms, or third-party claims resulting from your implementation of our recommendations.

12. Termination

Either party may terminate an engagement with 14 days' written notice. The client remains liable for fees corresponding to work completed to the termination date. We may terminate immediately if a client materially breaches these Terms or fails to resolve payment obligations within 7 days of a cure notice.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore. Disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, the parties agree to mediation under the Singapore Mediation Centre's Commercial Mediation Rules before commencing litigation. Any subsequent litigation shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. General Provisions

• Entire Agreement: These Terms and any engagement proposal constitute the entire agreement between parties.
• Severability: If any provision is unenforceable, the remainder continues in full force.
• Waiver: Failure to enforce a provision does not waive the right to enforce it later.
• Assignment: Clients may not assign obligations without our written consent.
• Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control.

15. Changes to These Terms

We may revise these Terms periodically. Material changes will be communicated via the Website and take effect 14 days after posting. Continued use constitutes acceptance.
